ESPRESSOLAB MEMBERSHIP AGREEMENT AND PROGRAM TERMS OF USE

This Espressolab Mobile Application Program (hereinafter referred to as the “Program”), owned by Eslab Kahve Gıda Sanayi ve Ticaret Anonim Şirketi (hereinafter referred to as “ESPRESSOLAB”), has been created for the purpose of providing members of the Program with various advantages determined by ESPRESSOLAB, such as the ability to make purchases at Espressolab stores located within the borders of the Republic of Türkiye by loading funds into the Eslab Wallet (Mobile Wallet), accessing discounts, campaigns and promotions, earning/spending LabCoins, and becoming entitled to gift vouchers.

This is a Membership Agreement that is executed through a digital offer and acceptance method regarding the advantages to be offered within the scope of the Program.

By becoming a member of and using the Program, you hereby declare and acknowledge that you accept this Membership Agreement, the Program Terms of Use, the Personal Data Protection Agreement (“KVKK”), the Privacy Policy, and the Privacy and Security Agreements.

DEFINITIONS

1.     Eslab Kahve Gıda Sanayi ve Ticaret Anonim Şirketi means all group companies that Espressolab is a part of, including its affiliates, parent companies, and subsidiaries, as well as any companies that are or may become part of the Espressolab corporate group, whether directly affiliated or not.

2.    Credit Card Data means the data of the credit cards belonging to the cardholder’s bank, which the Member registers into MasterPass or similar certified card storage solutions.

3.     MasterPass means the system provided by Mastercard, one of the Program Partners, which enables users to make payments through masterpass.com.tr or via payment pages at member merchants bearing the MasterPass logo by registering their card information in the system. Within the scope of this Agreement, MasterPass refers to the system through which users register their credit cards on the Mastercard page embedded within the Application and load funds into their Espressolab Wallet using their bank credit cards.

  1. 4. Mobile Application means the Espressolab Mobile Application that operates on mobile phones, tablets, computers, and similar portable devices.

5.   Program Partners mean any and all service provider companies with which Espressolab collaborates or will collaborate under the Program, including but not limited to MasterCard Europe SA Turkey Liaison Office (“Mastercard”) and Akbank T.A.Ş. (“Akbank”), as well as their affiliates, subsidiaries, other group companies, and their employees.

6.   Eslab Wallet means the virtual wallet created within the Espressolab Mobile Application, which is installed on the Member’s personal device (mobile phone, tablet, etc.), into which balance is loaded, and which enables the Member to benefit from all campaigns and promotions determined by Espressolab at designated Espressolab stores, earn/spend LabCoins, become entitled to gift vouchers, and access discount opportunities.

7.     Eslab Wallet Balance: means the balance available in the Member’s Eslab Wallet that can be used at Espressolab stores.

8.     Member means the natural person who provides personal information in the relevant fields of the Mobile Application or via the website https://www.espressolab.com, becomes a member of the Espressolab Mobile Program by marking the checkbox(es) next to the statement “I have read and accept the User Agreement” and/or a similar expression during the membership registration process and approving this Agreement, and logs into the Mobile Application or the website by completing the registration.

9.     Membership Information means all types of personal information of the Member, including but not limited to the Member’s name, surname, mobile phone number, e-mail address, Turkish ID number, date of birth, gender data, and the answer to the security question.

10.  LabCoin Data means campaign-related data obtained by the Member as a result of using the Espressolab Mobile Program at designated Espressolab stores determined by Espressolab, including access to campaigns and promotions, earning/spending LabCoins, becoming entitled to gift vouchers, and accessing discount opportunities.

GENERAL TERMS

1.     Espressolab retains full ownership of the Eslab Wallet and the Application.

2.     All services provided within the scope of the Application are offered by Espressolab and/or service partners authorized by Espressolab.

3.     In order to use the Espressolab Program, the Member must complete and approve the application form and register the necessary information (Turkish ID Number, Name, Surname, Contact Information, Security Code, etc.) as specified.

4.     To use the Eslab Wallet for purchases, the Member must load funds into the Eslab Wallet. Funds may be loaded into the Eslab Wallet via the Virtual POS through the Application using credit or debit cards compatible with the 3D Secure System, or via POS devices available at Espressolab stores. The Espressolab Wallet payment function operates only by loading funds into the Eslab Wallet through the mobile application and making payments by scanning a QR code; and thus, payments cannot be made through the website. By agreeing to this Agreement, the Member shall be deemed to have agreed to the Personal Data Protection Law (“KVKK”), Privacy Policy, and the Privacy and Security Agreements for payments made via QR code through the mobile application. 5.     The Eslab Wallet is personal to the Member and cannot be transferred to another person. The advantages earned within the scope of the Program cannot be transferred to another Eslab Wallet outside the Program, and an Eslab Wallet cannot be used together with any other advantage Eslab Wallet.

6.     The balance contained in the Eslab Wallet cannot be converted into cash.

7.     In the event that the device on which the Application is installed or the membership including the Eslab Wallet is stolen, lost, or becomes unusable, the Member shall immediately notify Espressolab without delay through the communication line at 444 84 64. The Member accepts and declares that they shall be responsible for any damages that may occur until such notification is made. Upon the Member’s notification to Espressolab, the membership shall be deleted by Espressolab. In order for the advantages loaded in the deleted Eslab Wallet to be transferred to the new Wallet, the Member must submit a request via [email protected] and ensure that the Eslab Wallet is transferred to the new membership’s Eslab Wallet. Espressolab shall not bear any responsibility if such transfer is not carried out.

8.     The terms of use of the Eslab Wallet and the advantages it provides are determined by Espressolab. Espressolab may, at any time, change these terms of use in order to ensure application security and comply with applicable legislation, and may suspend, remove, or cancel the use of the Eslab Wallet without any prior notice or warning to the Member. When the membership status expires at the end of the designated period, it shall be automatically renewed and any status-related campaigns may be deleted. When the validity period of LabCoin rights expires, such rights shall automatically be deleted from the account. The Member accepts and declares that they shall not have any rights or claims regarding the LabCoin rights granted through the Eslab Wallet.

9.     The Member hereby accepts and declares that the personal information provided in the membership application form is accurate, and that they will update such information in case of any changes, and also accepts that Espressolab and/or Program Partners shall not be liable for any damages arising from failure to update the information or from incorrect information being provided.

10.  If the Member requests that their personal data processed within the scope of the Application no longer be processed by Espressolab, Espressolab will no longer be able to provide services to the Member through the Application; therefore, as of the date the processing of personal data ends, any existing balance (if any) in the Application will be refunded upon submission of the relevant account information to Espressolab.

11.  In the event of any dispute, the commercial books and records of Espressolab shall constitute conclusive evidence.

12.  Any disputes shall be subject to the exclusive jurisdiction of the Courts and Enforcement Offices of Istanbul.

 

BALANCE, ADVANTAGES, ESLAB WALLET VALIDITY AND MEMBERSHIP PROGRAMS

  1. The accumulated balance in the Eslab Wallet cannot be used to obtain another Eslab Wallet and cannot, under any circumstances, be refunded in cash.

  2. Unless otherwise notified by Espressolab, the validity period of the advantages in the Eslab Wallet shall be one (1) year from the date they are earned.

  3. The rules applicable to LabCoin Data are as follows:

    • LabCoin is a point system earned through all payments made via the mobile application. LabCoins earned may be used to obtain various advantages, gifts, and discount opportunities valid at Espressolab stores. LabCoins may be earned at Espressolab stores by scanning the QR code, loading funds into the Eslab Wallet (Mobile Wallet), and through “Send to Me”, “Pick-Up”, and “Online Store Shopping” transactions.

    • Unless otherwise announced by Espressolab, LabCoins and free drink rights earned through purchases shall be valid for one (1) year from the date earned; and LabCoins earned through balance-loading campaigns or similar campaigns shall also be valid for one (1) year from the date earned.

    • If LabCoins are not used within the validity period applicable to their type, they shall expire and be automatically deleted from the Member’s LabCoin account.

    • Accumulated 15 LabCoins in the account grant the Member one (1) free 12 oz coffee prepared by our barista, valid at all Espressolab stores.

    • For every TRY 100 preloaded into the Eslab Wallet, the Member shall earn one (1) additional LabCoin.

    • Espressolab reserves the right to amend campaign conditions at any time.

    • The validity period of LabCoins earned through campaigns is one (1) year.

    • The validity period of LabCoins earned from online purchases is one (1) year.

    • The validity period of LabCoins earned through “Send to Me” purchases is one (1) year.

    • The validity period of LabCoins earned through “Pick-Up” purchases is one (1) year.

    • The validity period of LabCoins earned by loading balance into the Eslab Wallet is one (1) year.

    • The validity period of LabCoins earned by scanning the QR code is one (1) year.

  4. When the validity period of the Eslab Wallet expires, the Eslab Wallet shall become invalid, and any accumulated funds, points, LabCoin balance, and advantages granted to the Member shall be deleted by Espressolab. The Member accepts that any accumulated balance, accumulated LabCoins, and advantages in the Eslab Wallet that are not used within the validity period may only be transferred upon the Member’s request and only if the Member obtains a new Eslab Wallet. The Member accepts and declares that if no such request is submitted within the period stipulated under applicable legislation, the relevant balance, LabCoins, and advantages shall be deleted and reclaimed by Espressolab, and the Member shall not have any rights or claims in this regard.

  5. The Espressolab payment function operates only by loading funds into the Eslab Wallet through the mobile application and making payments by scanning a QR code; and thus payments cannot be made through the website. During the payment process, the Espressolab card payment may not be approved for various reasons. In cases such as exceeding the card limit, incorrect or incomplete entry of the security code, incorrect information entry, expiration of the card, temporary connection issues, or the card being reported as lost/stolen, a message stating that “authorization could not be obtained” may appear. In the event that such a message appears, indicating that the payment approval has failed or has not been completed, the Member is advised to contact the relevant bank without sharing card information with third parties. The Member accepts and declares that Espressolab shall not be liable for the non-approval of the payment for any reason, illegal card usage, or any credit relationship between the Member and the bank whose credit card is being used.

  6. In the event that the continuation of the Espressolab Program application becomes impossible for any reason due to changes in the applicable legislation during the term of the Espressolab Program, the Espressolab Program and the Eslab Wallet shall automatically become null and void.

  7. The Member accepts, declares and undertakes that they shall not share their membership information, username, mobile phone number and/or password with others or allow their use by third parties, and that they are responsible for safeguarding such information, while Espressolab bears no liability in this regard; that, should the Eslab Wallet be misused by third parties and/or by the Member in any manner, that Espressolab is entitled to immediately cancel the Eslab Wallet and terminate the membership, without prejudice to any and all legal rights of Espressolab; that all rights arising from the membership shall be forfeited, and any rights and advantages granted in connection with the membership may be withdrawn from the Member; and that the Member shall bear full responsibility for any disputes arising or that may arise from such practices.

  8. Espressolab reserves the right to modify these Terms of Use, the Espressolab Program, the Espressolab Mobile Application, and any policy or guideline related to the LabCoin program at any time and at its sole discretion. Such changes or modifications shall be published on https://www.espressolab.com, and the Member is responsible for reviewing them periodically. Any special notices related to such changes or modifications shall be published as updates and Members shall be informed.  Continued access to, participation in, or use of the Espressolab Program, the Espressolab Mobile Application, or the LabCoin program following such changes or modifications shall constitute the Member’s acceptance thereof. If you do not agree to these Terms of Use, you may terminate your Espressolab Program membership.
